  1. Client Responsibilities

2.1 Provide accurate and complete project information, necessary documents, and timely approvals required for SYNNEXUS to perform the agreed services.

2.2 Ensure that SYNNEXUS has timely access to project sites and any necessary infrastructure to facilitate service delivery.

2.3 Comply with all applicable legal, safety, and environmental regulations relevant to the project.

2.4 Inform SYNNEXUS promptly of any changes to project requirements that may impact costs, timelines, or deliverables.

  1. Fees and Payment Terms

3.1 Fees and payment schedules will be specified in the individual contract or invoice related to each project.

3.2 Payments must be made according to the agreed terms. Late payments may result in penalties or suspension of services.

3.3 SYNNEXUS reserves the right to adjust pricing in response to unforeseen costs, regulatory changes, or client-requested modifications, with prior notice to the client.

  1. Project Timelines and Delays

4.1 SYNNEXUS commits to delivering services within the agreed-upon timelines.

4.2 Unavoidable delays caused by factors such as force majeure events, regulatory approvals, supply chain issues, or client actions may necessitate adjustments to the project schedule.

4.3 SYNNEXUS is not liable for delays beyond its control but will strive to minimize any disruptions.

  1. Liability and Warranty

5.1 SYNNEXUS ensures that all services are performed in accordance with industry best practices and the quality standards outlined in the service agreement.

5.2 SYNNEXUS is not liable for any indirect, incidental, or consequential damages arising from the services provided.

5.3 Any claims related to service defects must be reported to SYNNEXUS within 30 days of project completion to be eligible for resolution.

  1. Confidentiality and Data Protection

6.1 Both SYNNEXUS and the client agree to maintain the confidentiality of all business data, project details, and sensitive information obtained during the course of the project.

6.2 SYNNEXUS adheres to strict data protection policies and will not share client information with third parties without explicit consent, except as required by law.

  1. Termination and Cancellation

7.1 Either party may terminate the agreement with 30 days’ written notice, subject to payment for all services rendered up to the termination date.

7.2 SYNNEXUS reserves the right to terminate services immediately in cases of client breach of contract, such as non-payment or non-compliance with applicable laws.

7.3 Upon early termination, the client is responsible for compensating SYNNEXUS for all completed work and any associated costs incurred up to the termination date.

  1. Dispute Resolution

8.1 Any disputes arising from these Terms and Conditions will first be addressed through good faith negotiations between SYNNEXUS and the client.

8.2 If a resolution cannot be reached through negotiation, disputes will be referred to arbitration by the governing laws specified in the service agreement.

  1. Governing Law

9.1 These Terms and Conditions are governed by and construed by the laws of Switzerland.

  1. Amendments and Updates

10.1 SYNNEXUS reserves the right to update or modify these Terms and Conditions as necessary. Clients will be notified of significant changes through our website or direct communication.
